There has been a number of changes as well as Companies House fees are increasing on 1 May 2024.

Changes to the confirmation statement

The way you file your confirmation statement has changed. Here's what you need to know.

Registered email address

Under the Economic Crime and Corporate Transparency Act, all companies need to provide a registered email address. We'll use this email address to communicate with the company – it will not be available to the public.

Existing companies need to give a registered email address when they file their next confirmation statement, with a statement date from 5 March 2024 onwards.

Statement to confirm the company is lawful

All companies need to confirm that the intended future activities of the company will be lawful.

You need to confirm this every year on the confirmation statement. You will not be able to file a confirmation statement without this statement.

This applies to all confirmation statements with a statement date from 5 March 2024 onwards.

As advised previously and for your information, a company has to file a confirmation statement at Companies House every year usually made up to an anniversary date. The confirmation statement basically notifies Companies House of any changes to its directors, shareholders, PSC, address and share movements. It is also a criminal offence to not file a confirmation statement and the directors can be fined personally in the criminal courts.
